Zalaris ASA - Kona Bidco to own 86.68% of Zalaris ASA after offer acceptances

Kona Bidco AS has received acceptances for 55,601 shares in Zalaris ASA under its mandatory offer to acquire all shares in the company not already owned by the offeror. Following these acceptances, Kona Bidco will own a total of 19,183,527 shares in Zalaris ASA, representing approximately 86.66% of the issued and outstanding share capital and voting rights of the company (87.88% adjusted for the company’s holding of own shares). The offer period for the mandatory offer remains open until 14 July 2026 at 16:30 CEST.

The offer price is set at NOK 100 per share, and the offer is governed by Norwegian law and conducted in accordance with the Norwegian Securities Trading Act. The Offeror, a close associate of Fredrik Gyllenhammar Raaum, chair of the board of directors in Zalaris ASA, intends to apply for delisting of Zalaris shares from Euronext Oslo Børs following the completion of the offer.

Arctic Securities AS is acting as financial advisor and receiving agent for the offer, while Advokatfirmaet BAHR AS provides legal counsel. The offer is not being made in any jurisdiction where it would be prohibited by applicable law.
